"The Gift of Private Equity & Business Interests"


Presented by David Adams, President & Quinn Shearer, Partner, Adams Capital

Mr. Adams is President of Adams Capital, LLC. He is an expert in the valuation of businesses, business interests, and tangible and intangible property for mergers and acquisitions, corporate recapitalization, privatization, gift and estate tax planning, bankruptcy proceedings, dissenting shareholders, Employee Stock Ownership Plans, and financial and tax reporting. Prior to forming Adams Capital, Mr. Adams practiced business valuation services with Coopers & Lybrand LLP and KPMG Peat Marwick LLP.  Mr. Adams’ extensive corporate finance background includes sellside and buyside advisory, divestitures, private placements, transaction negotiation, structure, and strategy. Mr. Adams has experience with over 2,000 transactions ranging from multi-billion dollar international conglomerates to smaller family owned and startup businesses. Transaction advisory experience includes: fairness opinions, due  diligence, equity structuring, debt structuring, recapitalizations, solvency opinions, acquisition consulting, board presentations, going public, going private, shareholder stock repurchases, and business planning in support of financing.  He routinely assists with business plan preparation and guiding clients through the shareholder growth process.  Mr. Adams frequently works to resolve shareholder disputes related to valuation and governance rights stipulated by shareholder agreements and routinely counsels and quantifies clients on complex shareholder matters.

Mr. Shearer is a Partner at Adams Capital, LLC. He has practiced business valuation services with Adams Capital since 2006 and has experience in the valuation of privately held businesses, tangible and intangible property valuation for mergers and acquisitions, transfer pricing, stock option and warrant valuation, fairness opinions, quantification of discounts for lack of marketability, real options analysis, and Monte Carlo simulations.  Mr. Shearer’s industry experience includes banking, distribution, foods, hotels, hospitals, information technology, logistics, manufacturing, oil and gas services, publishing, real estate, telecommunications, and textiles.  While with Adams Capital, Mr. Shearer has performed and managed valuations for tax reporting and financial reporting purposes considering both the fair market value and fair value standards.  Mr. Shearer also works to resolve shareholder disputes related to valuation issues which may arise from shareholder buyouts or divorce.  These engagements require careful consideration of the marketability and control characteristics of the subject interest as well as additional factors such as personal goodwill value.

Presented by Stephanie D. Frostbaum, JD, Director of Gift Planning, Emory University

Stephanie, an Emory Law School graduate, works closely with donors who support the Health Sciences at Emory through gifts to Emory's School of Medicine, The Nell Hodgson Woodruff School of Nursing, The Rollins School of Public Health, The Woodruff Health Sciences Center, The Yerkes National Primate Research Center, and the Michael C. Carlos Museum. At Emory, Stephanie’s strategic focus is on increasing the quality and quantity of planned and blended gifts.  Stephanie joined Emory's Office of Gift Planning in 2005, coming to Emory from Wachovia Wealth Management, where she was a Vice President and Wealth Strategist. Stephanie practiced law as a Tax and Estate Planning Attorney for ten years in New York and Atlanta. She is a member of the state bars of New York, Connecticut and Georgia. Stephanie has been on the board of the Georgia Planned Giving Council since 2007 and served as President.  She has chaired the Greater Good Awards of the Georgia Planned Giving Council for the past five years. A native of New York City, Stephanie received her B.A. from Boston University.
